Comment:

 This is not due specifically to the upgrade.

 Your PHP install has a memory limit of 32MB, Your WordPress install
 requires more than this.

 There are a few options:
 1. you've got some plugins loaded which are using a lot of memory, and so
 kick you over that 32M
 2. You've got some plugins which have large translation files which are
 being loaded on the plugins page -- Theres another ticket for that: #7820
 (With a stupid reason for closing)
